Editorial diagram: Franchise personal guarantees: questions for your adviser
Editorial diagram. A topic-specific research checklist, not a verified brand result or an earnings forecast.

Limited-company ownership does not answer whether an individual is being asked to guarantee obligations. Review each proposed guarantee separately, including those in lease or finance documents outside the main franchise agreement.

Identify every document and person

List the creditor, guarantor and obligations described by each instrument. Check whether several owners are asked to sign and whether a spouse or other person is involved. The implications require individual legal advice, not a general assumption about company structure.

Ask about scope and duration

Have an adviser explain any cap, continuing effect, variations, enforcement costs and release mechanism. Ask what happens after a transfer, renewal or change in ownership. A verbal statement that a guarantee is standard does not explain its exposure.

Connect the review to the exit plan

Record what written evidence would establish release when the business is sold or a loan repaid. Keep guarantee obligations in the decision log even when they do not require an immediate cash payment. Contingent exposure and opening expenditure are different measures.

A worked research example

Example document map: the franchise agreement, equipment finance and premises lease each contain a separate proposed guarantee. A release from one counterparty may not resolve the others. Ask the relevant adviser to confirm the position for every document.

Frequently asked questions

Does using a company eliminate personal exposure?

Not where an individual separately takes on enforceable obligations. Obtain advice on the documents.

Is a guarantee an immediate business expense?

It is an obligation whose cash effect depends on its terms and events; do not confuse it with a quoted opening payment.

Does selling the franchise automatically release it?

Do not assume that. Confirm the release requirements with the relevant parties and adviser.
